3BD is seeking a talented attorney who will handle a wide variety of day-to-day entertainment, corporate, and commercial business and legal affairs for the company. This is a multi-faceted role that straddles business affairs, new media, and general corporate law. You will have exposure across the entire company and have the opportunity to contribute as a key member of multiple business units. This role is ideal for someone who excels under pressure, desires to expand their knowledge base, and is able to come up with innovative solutions where there is often no roadmap.

The role will balance the negotiation and drafting of a heavy volume of fast-paced matters for development and production of long-form and short-form original content and content distribution, including talent and influencer agreements across business lines as well as company legal issues.

Role and Responsibilities

  • Manage day-to-day general corporate legal issues and risk management across the company’s business units
  • Structure, draft, negotiate, and review agreements including but not limited to the following:
    • Branded entertainment, influencer campaigns, ad sales, and commercial production services, overseeing all related content production legal matters
    • New media deals across scripted, unscripted, and live content on a variety of streaming platforms
    • Content licensing and acquisition (both inbound and outbound) and content distribution
    • Merchandise licensing, collaboration, and production terms sheets and agreements
  • Provide analysis and counsel on a variety of intellectual property matters, claims, clearances, and other issues arising out of the day-to-day operations of the company
  • Create and maintain deal form templates (e.g. writer agreements, campaign agreements, licensing agreements, distribution agreements, marketing agreements, etc) to ensure efficiency and consistency
  • Oversee trademark and copyright clearances, filings, and management in coordination with outside counsel
  • Develop a contract management system for a growing company with multiple business units
  • Manage relationships with game developers/publishers, IP holders, and cross-divisional partners to create high profile and value added partnerships that increase awareness or user adoption of our owned and operating properties
  • Ensure compliance with guild and union regulations (SAG-AFTRA, WGA, DGA and I.A.T.S.E); build internal guild competencies
  • Negotiate short form IP options and talent development & production deals
  • Provide direction and guidance in connection with all legal issues related to the production of original material
  • Provide practical advice and solutions to internal business partners on all related legal matters
  • Assist HR with legal research and actionable recommendations for day to day issues and concerns regarding employment/labor counsel; vendor agreements
  • Structure, draft, negotiate, and review various joint venture and collaboration terms sheets where it pertains to intellectual property
  • Turn around short, comprehensive deal-memos quickly and work in a high-paced environment

Qualifications

  • Minimum 4+ years of consistent legal and/or business affairs experience in-house with a network, studio, agency and/or entertainment company. Law firm experience also considered
  • Experience working within a start-up or tech environment preferred
  • Proven skills in the structuring, drafting and reviewing of contracts
  • Member in good standing with California Bar
  • Extensive knowledge of contract law and legal issues specific to entertainment and corporate law
  • Must be able to prioritize multiple projects with different levels of importance and urgency
  • Experience partnering with Human Resources is a plus
  • Self-starter with excellent verbal and written communication skills
  • Excellent analytical skills and attention to detail along with creative problem-solving capabilities
  • Strong ability to work independently and to contribute positively as a collaborative member of a team, with an interest in learning and developing new processes
  • Comfort with supervising multiple outside counsel relationships
